Terms and Conditions with regard to use of PreludeSys India Ltd. Software/Services

PreludeSys India Ltd offers YOU a software under the name "Campus Interaction" ("Software") and also provides its services to YOU subject to the following Terms and Conditions (T&C), which may be updated by our firm from time to time. The latest version of T&C will always be available in PreludeSys India web site accessible at www.preludesys.com. All such guidelines or rules are hereby incorporated by reference into the Terms and Conditions.

• 1 . ACCOUNT, PASSWORD AND SECURITY
• PreludeSys India Ltd will create a password and account during the Service registration process. YOU are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under YOUR password or account. YOU agree to
1. Immediately notify of any unauthorized use of your password or account or any other breach of security, and
2. Ensure that YOU exit from its account at the end of each session. PreludeSys India Ltd cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

• 2 . CONDUCT
1. Upload, post, email, transmit or otherwise make available any Information that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, rebellious, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
2. Harm minors in any way;
3. Impersonate any person or entity, including, but not limited to, a PreludeSys India Ltd representative, forum leader, or falsely state or otherwise misrepresent your affiliation with a person or entity;
4. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Information transmitted through the Service;
5. Upload, post, email, transmit or otherwise make available any Information that YOU do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
6. Upload, post, email, transmit or otherwise make available any Information that infringes any patent, trademark, trade secret, copyright or other proprietary rights (Rights) of any party;
7. Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation, except in those areas that are designated for such purpose and within the scope of such designation;
8. Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
9. Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
10. Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations.
11. YOU acknowledge that PreludeSys India Ltd does not pre-screen any Content working in coordination with the Service, but that PreludeSys India Ltd and its designees shall have the right (but not the obligation) in their sole discretion to rescind use of the Service. YOU acknowledge and agree that PreludeSys India Ltd may preserve Information and may also disclose Information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the T&C; (c) respond to claims that any Information violates the rights of third-parties; or (d) protect the rights, property, or personal safety of PreludeSys India Ltd, its customers, users and/or the public.
12. YOU understand that the technical processing and transmission of the Service, including YOUR Information, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

• 3 . SPECIAL ADMONITIONS FOR INTERNATIONAL USE
• Recognizing the global nature of the Internet, YOU agree to comply with all local and International rules as applicable regarding online conduct and acceptable Information. Specifically, YOU agree to comply with all applicable laws regarding the transmission of technical data exported from India or the country in which YOU Operate or will operate.

• 4 . INDEMNITY
• YOU agree to indemnify and hold PreludeSys India Ltd, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including any attorneys' fees, made by any third party due to or arising out of Information YOU submit, post, transmit or make available through the Services, YOUR use of the Services, connection to the Services and violation of the T&C, or violation of any rights of another.

• 5 . NO RESALE OF SERVICE
• YOU agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service, other than as provided within the scope of the Service.

• 6 . MODIFICATIONS TO SERVICE
• PreludeSys India Ltd reserves the right at all times to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with reasonable notice. PreludeSys India Ltd will not be responsible to YOU for refund, in whole or part, of service fees (if any) for any reason. YOU agree that PreludeSys India Ltd shall not be liable to YOU or to any third party for any modification, suspension or discontinuance of the Service.

• 7 . LINKS
• The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. As PreludeSys India Ltd has no control over such sites and resources, YOU acknowledge and agree that PreludeSys India Ltd is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. YOU further acknowledge and agree that PreludeSys India Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

• 8 . PRELUDESYS INDIA'S PROPRIETARY RIGHTS
• YOU acknowledge and agree that the Service and any necessary software used in connection with the Service ("PSI") and the Software contain proprietary and confidential information that is protected by applicable intellectual property and other laws. YOU further acknowledge and agree that information presented to YOU through the Service is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by PreludeSys India Ltd, YOU agrees not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. YOU agrees not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. YOU agree not to access the Services by any means other than through the interface that is provided by PSI for use in accessing the Service. The Ownership of the Software belongs to PreludeSys India Ltd, the service fee charged by PreludeSys India Ltd is for the use of services for a specified period only and not for the ownership of the Software. PreludeSys India LTD provides YOU the access to use PSI and PreludeSys India LTD will host this in a secured server of its choice. At any point PreludeSys India LTD has no obligation to install the Software in the server of YOUR choice or provide YOU the Software.

• 9 . EXCLUSIONS AND LIMITATIONS
• IF PRELUDESYS INDIA LTD IS FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO THE GREATER OF THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY

• 10 . NOTICE
• Notices to YOU may be made via either email or regular mail. The Service may also provide notices of changes to the T&C or other matters by displaying notices or links to notices to you generally on the Service. • 11 . TRADEMARK INFORMATION
• PreludeSys India Limited, trademarks and service marks, and other PreludeSys India Limited's logos and product and service names are owned by and /or trademarks of PreludeSys India Ltd. Without PreludeSys India Ltd's prior permission, YOU agree not to display or use in any manner, the PSI Marks.

• 12 . GENERAL INFORMATION
1. Entire Agreement. The MOU and T&C constitute the entire agreement between YOU and PreludeSys India Ltd and governs YOUR use of the Service, superseding any prior agreements between YOU and PreludeSys India's LTD. YOU also may be subject to additional terms and conditions that may apply when YOU uses affiliate services, third-party Information or third-party software.
2. Choice of Law. The T&C and the provision of Service to YOU are governed by the laws of the Republic of India as such laws are applied to agreements entered into and to be performed entirely within India and Indian citizens.
3. Arbitration. Any controversy or claim arising out of or relating to the T&C or the provision of Service shall be finally settled by binding arbitration in accordance with the commercial arbitration rules of India. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in India and judgment on the arbitration award may be entered in any court having jurisdiction thereof. However, YOU and PreludeSys India LTD agree to submit to the personal jurisdiction of the courts located within Chennai. Either YOU or PreludeSys India LTD may seek any interim or preliminary relief from a court of competent jurisdiction in Chennai necessary to protect the rights or property of YOU or PreludeSys India LTD (or its agents, suppliers, and subcontractors) pending the completion of arbitration.
4. Invalid Provisions. The failure of PreludeSys India LTD to exercise or enforce any right or provision of the T&C shall not constitute a waiver of such right or provision. If any provision of the T&C is found by an arbitrator or court of competent jurisdiction to be invalid, the parties nevertheless agree that the arbitrator or court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the T&C remain in full force and effect.
5. Time to File Claim. YOU agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the T&C must be filed within one (1) year after such claim or cause of action arose or be forever barred.
6. By entering in to this agreement YOU agree that it won't employ any PreludeSys India LTD or its subsidiary's resources for 2 years after YOU end the contract, without PreludeSys India Ltd's approval.
7. YOU Acknowledge that it will not show the Software (Campus Interaction) to anyone other than the college management, staff or students.
8. Titles. The section titles in the T&C are for convenience only and have no legal or contractual effect.

• 14 . PRELUDESYS INDIA'S PRIVACY POLICY
• Cookies - A cookie is a piece of data stored on the user's hard drive containing information about the Customer. By setting a cookie on PreludeSys India site, the user would not have to log in a password more than once, thereby saving time while on our site. We use cookies for the convenience of our PreludeSys India's Customers. Log Files - PreludeSys India LTD uses IP addresses to analyze trends, administer the site, track user's movement, and gather broad demographic information for aggregate use. Links PSI's web site contains links to other sites. Please be aware that we, PreludeSys India LTD, is not responsible for the privacy practices of such other sites. We encourage our users to be aware when they leave our site and to read the privacy statements of each and every web site that collects personally identifiable information. This privacy statement applies solely to information collected by PreludeSys India LTD at this Web site.
• Site and Service Updates - PreludeSys India communicates with the user to provide requested services and to issues relating to their account via email or phone. Correction/Updating Account Information if a Customer's identifiable information changes (such as your e-mail), or if a user no longer desires our service, PreludeSys India will endeavour to provide a way to correct, update or remove that personal data provided to PreludeSys India. This can usually be done at account page or by contacting our Customer Support.
1. PreludeSys India will arrange for Online Tests through its Software at Designated Venues and arrange for Prospective Candidates attendance at the Designated Venues.

YOUR PART IN THE MOU

1. Use of Software "Campus Interaction" according to the Terms and Conditions Listed above.
2. Provide Technical and Man Power Support for Conducting the Online Tests.
3. Routing of Appointment Letter of the Selected Candidates Through PreludeSys India, which will enable PreludeSys India to collect its Service Fees from the Candidates
